Because I wanted to make that available, so that you guys can take your time, look it over, listen to what I have to say. And then I&#8217;m gonna make this into two parts, so that we can then discuss the content that I&#8217;m covering here.<br \/>\n0:23<br \/>\nSo, I want to introduce the reason why, and the how to and the application for the use of the Private membership Association. We have a lot of questions with it, you guys pretty much take my word for it. So I wanna give you the background and more understanding as to why I&#8217;ve chosen to use it in this way, but where I really got this information from his way back in the nineties and I didn&#8217;t even recognize it back then as what it, what it is now.<br \/>\n0:45<br \/>\nBut I just watching, my own mother explained, Do her work, OK now she was professionally she was a healer but you can&#8217;t do that. You can&#8217;t advertize you&#8217;re going to be a healer in this world, in this country and the way things go. So she actually had to do her healing work privately. And the way she did it was, she became a massage therapist, and she got a license for that.<br \/>\n1:08<br \/>\nAnd then she did her normal massage therapy business, but her core business really was private, and those patients, or clients.<br \/>\n1:17<br \/>\nshe treated privately, in fact, she even had a nice network of relationships with physicians and where she would, you know, refer people out, that she couldn&#8217;t handle. Or that she needed extra help with chiropractors.<br \/>\n1:28<br \/>\nYou know, other people that, um, we&#8217;re outside of her immediate work, Now it was just herself. It wasn&#8217;t like she had an office and lots of people doing the same thing, because not everyone can do the kind of thing that she did. She would actually heal people, and I can&#8217;t explain all the little details, but basically, her front, as we used to call it, her front, was being a massage therapist. And it really didn&#8217;t dawn on me until probably.<br \/>\n1:53<br \/>\nI don&#8217;t know, maybe the early two thousands, that it was a PMA, but she never said that. I never looked at it that way.<br \/>\n2:01<br \/>\nAnd as I did more research, because part of my problem was in the obstacles I&#8217;ve run into over the years has to do with the work I do is considered reserved for people who are members of the Bar Association.<br \/>\n2:17<br \/>\nAnd so, if I do that work, and I&#8217;m not careful about how I advertize, or I&#8217;m not careful about, you know, how I interact with, with clients and members, then I can have problems with the State Bar, Many of them, so, I&#8217;m cautious about that.<br \/>\n2:32<br \/>\nBut the State Bar itself is a private membership association, as you&#8217;ll start seeing when I explain this, So I&#8217;m just saying It was it was in the early two thousands that I started seeing this for what it was, and I never really called it that I continued doing the work that I do now, or I did back then, and I was solving problems. And literally, I mean, I&#8217;ve worked thousands and thousands of individual cases, mostly for consumers There&#8217;s a There&#8217;s a large segment of that. That was small businesses.<br \/>\n3:02<br \/>\nBut, anyways, it wasn&#8217;t until maybe a few years ago that I started actually saying, OK, guys, let&#8217;s designate a private club or private association, or a trust organization as the owner, and here&#8217;s why, OK. And so, you&#8217;ve heard me say a few things about that. I&#8217;m just going to restate that somewhat here.<br \/>\n3:24<br \/>\nBasically, what I want to do is, where someone has an individual liability, let&#8217;s say individually, if, if I invest money somewhere to make a profit well, then I made the profit, I can&#8217;t, I can&#8217;t say that, I didn&#8217;t make the profit.<br \/>\n3:37<br \/>\nI can&#8217;t say that company over there made the profit and hasn&#8217;t yet paid me a dividend, right? So, I can change my relationship to, that, my investment I made, right? We do this all the time.<br \/>\n3:48<br \/>\nWe open a stock account, right, and we get, we have a tax liability when we get a dividend for the most part, or when we sell.<br \/>\n3:56<br \/>\nSo, um, so, I&#8217;ve been doing the worked this way, And then I just started telling everybody, OK, look, this is what physicians have been doing, as I discovered, in the last, let&#8217;s say, 15 years or so, to organize their practices. So they can actually heal people, ironically, and so physicians were doing the same thing. my mother was doing, except for those guys were paying like $25,000 from what I understand. Tens of thousands of dollars.<br \/>\n4:22<br \/>\nAnd I think sometimes, when you hire an attorney, I shouldn&#8217;t say sometimes, most of the time, when you hire an attorney for something, they have a tendency to write themselves into your, uh, operations, OK, because that&#8217;s kind of their bread and butter. So they want to: they want to be involved with and sometimes I mean maybe they did.<br \/>\n4:38<br \/>\nDon&#8217;t do it deliberately, maybe. They just don&#8217;t care but I think they create a situation where they&#8217;re needed.<br \/>\n4:44<br \/>\nAnd I think that&#8217;s why they charge so much money for PMA documents.<br \/>\n4:48<br \/>\nand so as I looked at this over the years, I realized, Well, I was already doing this, and I don&#8217;t need a document, because the way I already was already doing it was just creating an association with my client, in a way that his ownership interests, and all the liability associated with that were being conveyed into an association that precluded him from individually having that liability in the future. And I know that probably sounds cryptic. But it works like this.<br \/>\n5:15<br \/>\nSo if I have the liability, well, chances are my neighbor or my friend or my, my brother, for example. My brother doesn&#8217;t do what I do. He&#8217;s in a completely different state.<br \/>\n5:26<br \/>\nAnd if he and I got together and then put some money on the table and we didn&#8217;t investment collectively, that investment can make all kinds of profit, But he and I together own that investment. He and I together aren&#8217;t taxpayers. We never filed a tax return. We never signed a commercial lease agreement, we never do anything jointly together. And so to that extent, we were innocent.<br \/>\n5:44<br \/>\nNow, you&#8217;ve heard me use this term, Innocent Party. OK.<br \/>\n5:46<br \/>\nWell, really, my brother and I are as a matter of nature.<br \/>\n5:51<br \/>\nWe are members of a private membership association, and it&#8217;s private, because not everybody can be in it for the most part, right? I mean there&#8217;s there&#8217;s some criteria. There&#8217;s some limitation limitations.<br \/>\n6:02<br \/>\nSo my brother and I are already a PMA, did I? have I have to have a document for that? Nope, not at all. So when I started realizing that, I was like, OK, well, fine then. Let me just start using.<br \/>\n6:14<br \/>\nWhat the client already has.<br \/>\n6:16<br \/>\nSo let&#8217;s just call a client&#8217;s family, his private membership association.<br \/>\n6:20<br \/>\nOr if he comes to me and says, hey, I really want to bring in my partners on this deal and there&#8217;s 2 or 3 of us, I&#8217;m going to write that into the contract. As a private membership association, even though he came to me and said, this is my partnership. This is my, whatever it is.<br \/>\n6:35<br \/>\nIt&#8217;s still an association. So let me give you a couple examples of that.<br \/>\n6:38<br \/>\nA private membership association would be something like the American Medical Association, right? A group of professionals. Now, not everyone can be in that. You probably have to be a physician. You probably have to be a licensed physician in good standing. You probably have to have an insurance agreement or bonding, right? I don&#8217;t know what the criteria are.<br \/>\n6:54<br \/>\nAmerican Heritage Society, OK, any professional association is exclusive or the nature of the profession.<br \/>\n7:04<br \/>\nWere, many of us are familiar with homeowners, associations. Now we think of homeowners associations generally as that corporation where the board of directors and they make all these rules. And then a lot of these guys are are psychotic or whatever, and they, and they, you know, police you, because your graphs are too tall. Or something like that. And they&#8217;re, you know, unreasonable and things like that. Well, the, the actual homeowners association is includes.<br \/>\n7:29<br \/>\nPeople that own homes, even renter&#8217;s by the way.<br \/>\n7:32<br \/>\nIt includes people that own homes in a neighborhood that is the homeowners association. It&#8217;s the list of those who own homes in an area that may be considered one neighborhood, or a series of neighborhoods that are clustered together. So, that&#8217;s an H away.<br \/>\n7:49<br \/>\nWhether or, not it&#8217;s run by a corporation or a board of directors. And, if you&#8217;ll notice, if you look carefully, you&#8217;ll find out that the h.o.a.s are unincorporated, meaning they&#8217;re not registered anywhere.<br \/>\n8:01<br \/>\nIt&#8217;s just an H O a is a description of people in a neighborhood.<br \/>\n8:06<br \/>\nSo then we get confused with the actual corporation. That calls itself a homeowner&#8217;s association where it&#8217;s actually not, it&#8217;s actually a corporation that&#8217;s registered with the state and I&#8217;m going to explain what the differences here briefly.<br \/>\n8:19<br \/>\nSo the H.o.a.s a great example of that. Of course, another example is any fraternal Association. You guys have heard of the Secret Societies, right? The masons and all this stuff that freemasons so.<br \/>\n8:30<br \/>\nBut families are also unincorporated associations. They don&#8217;t have to be, but they are as a matter of nature.<br \/>\n8:37<br \/>\nMost of them are, and I&#8217;m, it&#8217;s a pretty safe bet that when I&#8217;m working with someone, I can, I can make up a name and call it whatever I want. I can make up a name. And if someone asked me, what&#8217;s this, I can say, well, that&#8217;s his family.<br \/>\n8:49<br \/>\nOr he can say, that&#8217;s everyone in my family, or, you can say, that&#8217;s every one of my neighborhood drives or red car, or that&#8217;s everyone that I know in my lifetime.<br \/>\n8:57<br \/>\nThat is right handed whatever. OK, It&#8217;s everyone on my Facebook list, who likes me?<br \/>\n9:04<br \/>\nSo you can see that there&#8217;s this wide range of things.<br \/>\n9:07<br \/>\nNow you&#8217;re starting to notice I think a lot of news articles about businesses that are being harassed with the Know what.<br \/>\n9:15<br \/>\nAnd some of them have figured out that they can actually operate their business as a private membership association and call it different things, so it doesn&#8217;t have to be exactly a PMA, but it just has to be private. And there has to be certain criteria. And again, the PMA doesn&#8217;t need to be a document.<br \/>\n9:31<br \/>\nThis is the power of it.<br \/>\n9:33<br \/>\nIt&#8217;s literally an Association, Now, certainly, if you have a governing body, you can certainly do that, and you probably should do that in some cases. In a Governing body.<br \/>\n9:40<br \/>\nShould be chosen by the members of the association to serve their interests, right.<br \/>\n9:44<br \/>\nSo this is where we have an election or voting and then you have articles where they start outlining. who has what authority. And everybody votes on it, and it&#8217;s more of a democratic process, OK.<br \/>\n9:55<br \/>\nSo let me just, um, this might be easier as a guide, stop rambling on here, but I&#8217;m gonna switch over to a little 13 page brief. You guys have probably seen this before, but I&#8217;m gonna share my screen here.<br \/>\n10:10<br \/>\nLet&#8217;s just cover this. There&#8217;s two documents.<br \/>\n10:11<br \/>\none I want to cover with you this one Is you know Yale Law Journal OK, and they&#8217;re talking about exclusion from private associations. So what what really makes a private Association?<br \/>\n10:23<br \/>\nWell, it&#8217;s what you exclude I mean, yeah, It&#8217;s it&#8217;s what defines the Association, but it&#8217;s also important as to what it is going to exclude OK, it has to exclude something, it has to exclude members it has to exclude those who would want to be members, but but don&#8217;t qualify it has to so that&#8217;s why why a family is great for that because it&#8217;s all, it&#8217;s automatic.<br \/>\n10:44<br \/>\nThere&#8217;s nothing you have to do, right? Not everyone can be your sister, OK? So I just wanna scroll down here, and I&#8217;m gonna post this on The ace of coins, and I&#8217;m gonna also put this in the members area, so you&#8217;ll have this document.<br \/>\n10:56<br \/>\nOf course, you can probably find it, if you search on the internet, you see here.<br \/>\n11:02<br \/>\nUm.<br \/>\n11:03<br \/>\nAnd you could search on the name.<br \/>\n11:07<br \/>\nI&#8217;m 74.<br \/>\n11:09<br \/>\nBut anyways, I want to scroll down a bit. I made myself some notes because I want to make a couple of points here.<br \/>\n11:13<br \/>\nSo, if I look down on page 13, 15, here, I want to the year 19 65.<br \/>\n11:20<br \/>\nSo, it&#8217;s been around for a long time. I mean, this has been around for centuries, really. This whole idea, centuries.<br \/>\n11:27<br \/>\nThis is what was ruled in this case and you can look it up, OK, so if you look at Harris versus Thomas, and there&#8217;s footnotes down here you see if you guys wanna do some more research here you go.<br \/>\n11:37<br \/>\nYou ask me all the time where I can find more research about this, PMA that you&#8217;re using.<br \/>\n11:42<br \/>\nAlright, so here&#8217;s what the Court said. A voluntary association has the power to enact laws.<br \/>\n11:49<br \/>\nHold on a second.<br \/>\n11:51<br \/>\nA voluntary association has the power to enact laws.<br \/>\n11:55<br \/>\nOf course, it does.<br \/>\n11:56<br \/>\nThis is why I explain. If you If you call me up after I set up your organization and you said, Hey, John, can you set up an organization to manage my crypto investment or my stock portfolio or whatever?<br \/>\n12:07<br \/>\nAnd so I do the things, and then you start thinking about it and discussing it with whomever, and then you call me back three months later.<br \/>\n12:13<br \/>\nAnd you say, Hey, what else can I do with this thing?<br \/>\n12:16<br \/>\nI mean, can I can I decide like what can happen to property if I die or something, or something happens to me is what is commonly asked of me.<br \/>\n12:24<br \/>\nAnd of course, that is the whole idea behind a PMA, and this is a great opportunity to introduce you to the concept that you can actually manage your estate outside of the Court system.<br \/>\n12:39<br \/>\nBecause I think the court system really is expensive, I think, and also it exploits people.<br \/>\n12:44<br \/>\nIt takes advantage of people. It&#8217;s, it&#8217;s not necessary.<br \/>\n12:46<br \/>\nIf we take matters into our own hands and we take responsibility and decide what things should be done with our property, or the wealth or the treasure we&#8217;re creating.<br \/>\n12:56<br \/>\nWe can bring our family on board with that while we&#8217;re alive, and we can literally, right are probate proceeding.<br \/>\n13:03<br \/>\nIf you want to call it that not really it&#8217;s not really probate, but it&#8217;s and it&#8217;s an estate plan, we can write that with the PMA.<br \/>\n13:11<br \/>\nNow as you&#8217;ll notice, when I name a PMA in your documents, that&#8217;s all I&#8217;m doing. I&#8217;m just naming it. I didn&#8217;t give you a set of documents.<br \/>\n13:18<br \/>\nYou don&#8217;t need a set of documents for that, because as I explain always the PMA already exists, but it&#8217;s very, extremely powerful.<br \/>\n13:26<br \/>\nOK, it can act, enact its own laws, but check this out, it gets even better. OK? Governing the admission of members, of course, membership there, and it&#8217;s a privilege for which the society may accord or withhold, as it wants.<br \/>\n13:38<br \/>\nwith, with which a Court of equity will not interfere. What&#8217;s a Court of Equity?<br \/>\n13:45<br \/>\nFamily court.<br \/>\n13:48<br \/>\nUm, your State court it&#8217;s been taking your property for decades and decades.<br \/>\n13:55<br \/>\nOK, those are quarts of equity but they are not going to interfere with the Articles of Association of a private membership association unless you ask it too.<br \/>\n14:08<br \/>\nAnd I&#8217;m going to talk about this in a second.<br \/>\n14:11<br \/>\nEven though, the arbitrary rejection of a candidate may prejudice, his material interests, basically they can do whatever they want.<br \/>\n14:20<br \/>\nNow, there&#8217;s some exceptions, OK?<br \/>\n14:23<br \/>\nOperating or working within private membership association or a private club.<br \/>\n14:29<br \/>\nAn unincorporated association, it&#8217;s private.<br \/>\n14:32<br \/>\nHas limitations such as if you&#8217;re if your activities are doing something that some they call it.<br \/>\n14:39<br \/>\nWhat&#8217;s it called?<br \/>\n14:43<br \/>\nImmoral?<br \/>\n14:45<br \/>\nImmoral that there&#8217;s another term that&#8217;s been years, I&#8217;ll have to go off to think about that. but basically, if, oh, here&#8217;s what it is.<br \/>\n14:51<br \/>\nThe term is if the members of the association are involved in something that is substantively evil, then the state can get involved. The police power can get involved.<br \/>\n15:02<br \/>\nOtherwise cannot, all right.<br \/>\n15:05<br \/>\nA church is a private membership association, now churches are pretty much open to people can walk and things like that but there is an aspect of the church which is most of the church, which makes it a PMA by its very nature.<br \/>\n15:17<br \/>\nOK, so as a school, Now, public schools are not &#8230;.<br \/>\n15:20<br \/>\nMean, I guess, I probably couldn&#8217;t make the, you couldn&#8217;t make the argument because a publicly funded school, as you&#8217;ll see here, is a subject to the statutory, are compelling interests, let&#8217;s say, at the State. But you can have a school that, in fact I set up two of them the last couple of years that were &#8230; and that, FEMA is kind of dependent, it&#8217;s not, it doesn&#8217;t depend on the document, that you, you have that governs it. What matters is that it operates as a PMA. The people involved are actually managing it as a PMA, but if they don&#8217;t, if they if they go into the Court and they ask for permission for something, or the PM Itself asks for a license to operate from the state will then you kind of ruined your PMA OK if you register a professional, LLC or professional association with your state.<br \/>\n16:09<br \/>\nIf you register it with the Secretary of State, you&#8217;re losing the exclusivity of the membership.<br \/>\n16:20<br \/>\nMany times, this is very beneficial to the state police power, when I say police power, I&#8217;m talking about like your regulatory agencies, your code enforcement, your health, health department, your osha state agencies, right. Things like that. The Liquor Licensing Bureau, business Licensing, OK, these are all regulatory bodies.<br \/>\n16:39<br \/>\nAnd they do rely heavily upon professional associations to regulate themselves.<br \/>\n16:45<br \/>\nBecause the state agencies, I mean, the employees of the state, the elected officials, or whoever that write the laws. A lot of them don&#8217;t have areas of competence in these associations or in these industries. So they rely heavily on the associations to impose their own regulatory conditions for the members within that association.<br \/>\n17:03<br \/>\nAnd it works really well. It does work really well.<br \/>\n17:08<br \/>\nEven courts, and I&#8217;ll get into the second in a second here.<br \/>\n17:10<br \/>\nI&#8217;m gonna see if I can remember where, where this was.<br \/>\n17:17<br \/>\nYeah. Even the courts are going to yield to a decision or rule of an association, rather than issue an order interfering with that.<br \/>\n17:28<br \/>\nSee if I could find where I was. I was looking at that.<br \/>\n17:40<br \/>\nIn any case, I don&#8217;t want to I don&#8217;t want to stare at the ceiling, but anyways, if you&#8217;ll notice, there, they&#8217;re mentioning here the American Medical Association, right?<br \/>\n17:48<br \/>\nHere, judicial intervention.<br \/>\n17:51<br \/>\nIt seems justified in exclusion cases involving associations to which the State is formerly delegated regulatory authority. It&#8217;s just what I just said. It&#8217;s just there a way of saying, OK, you can go look this up.<br \/>\n18:01<br \/>\nIn footnote 45, basically, judicial intervention seems justified in exclusion cases involving associations to which the state has formally delegated regulatory authority. What does that mean? Well, I registered for indemnification with the Secretary of State.<br \/>\n18:16<br \/>\nI registered my articles of my association with the Secretary of State.<br \/>\n18:20<br \/>\nI&#8217;ve given it I&#8217;ve taken it every time I&#8217;m receiving a benefit now.<br \/>\n18:26<br \/>\nIt&#8217;s a benefit of what&#8217;s known as indemnification from the state.<br \/>\n18:30<br \/>\nAnd this taking basically come in there and impose certain rules above and beyond what I would normally do as an association.<br \/>\n18:38<br \/>\nThe argument for intervention, of course, may seem weaker than no formal delegation of authority exists, and formal ties between the association of the state may be just as significant as those established by legislative enactment.<br \/>\n18:51<br \/>\nEven in the absence of formal delegation, a strong society may exercise effective regulatory power over profession, And the state is going to yield to that.<br \/>\n18:59<br \/>\nYou&#8217;ll see here, a state legislature, well, let&#8217;s see a strong see, OK, a state legislature faced with the need to enact legislation in a short period.<br \/>\n19:07<br \/>\nCannot consider extensively varying professional viewpoints concerning regulation of the profession.<br \/>\n19:13<br \/>\nInstead, the legislature relies heavily upon the associations, or the assumption that internal differences among members of the profession have been resolved within the association itself.<br \/>\n19:25<br \/>\nTherefore, an association may have been primarily responsible for drafting and amending the state&#8217;s licensing statute.<br \/>\n19:31<br \/>\nThat&#8217;s what happens, you guys know that.<br \/>\n19:34<br \/>\nThe Association being regulated, writes its own regulatory framework.<br \/>\n19:41<br \/>\nWhy are we letting this happen?<br \/>\n19:45<br \/>\nWhy are we letting people that are not qualified?<br \/>\n19:48<br \/>\nRegulate our lives. I mean, granted, there are people that are qualified to regulate certain things and they should. But why are we allowing this overreach? I mean, just think, family court, for example.<br \/>\n19:57<br \/>\nYou can&#8217;t work that out with your spouse. I mean, people come to me and sometimes I don&#8217;t get in those. In those cases, I don&#8217;t like Family court things. I don&#8217;t mind taking a few things that involve judicial process.<br \/>\n20:06<br \/>\nBut, but some people asked me, you know, they&#8217;ll mentioned something like, well, I&#8217;m getting a divorce because sometimes it becomes part of the conversation. We&#8217;re talking about money.<br \/>\n20:15<br \/>\nAnd if I&#8217;m asked, I&#8217;ll, I&#8217;ll recommend this.<br \/>\n20:20<br \/>\nIf you&#8217;re getting a divorce, um, try to, if you can come up with an agreement as to what the terms of the divorce should be.
